1. Applicability<\/strong><\/h3>\n

1.1. These delivery terms and conditions apply to all offers, orders, quotations, deliveries and agreements under which Climate King BV supplies products to (business) customers.
\n1.2. Deviations from these terms and conditions are only valid if confirmed in writing by Climate King BV.
\n1.3. The applicability of the customer’s general terms and conditions is expressly excluded.<\/p>\n

2. Offer and formation of the agreement<\/strong><\/h3>\n

2.1. All offers and product information on the website of Climate King BV and in the webshop are without obligation and valid while stocks last.
\n2.2. Delivery times stated with the products are indicative and do not constitute a binding commitment. Delays in delivery do not entitle the customer to compensation or dissolution of the agreement.
\n2.3. The agreement is concluded after written order confirmation by Climate King BV or when Climate King BV executes the order.<\/p>\n

3. Prices<\/strong><\/h3>\n

3.1. All prices are exclusive of VAT and other government levies, unless explicitly stated otherwise.
\n3.2. Climate King BV reserves the right to change prices before the agreement has been concluded.<\/p>\n

4. Delivery and risk<\/strong><\/h3>\n

4.1. Delivery shall take place via a carrier appointed by Climate King BV, unless otherwise agreed in writing.
\n4.2. The risk of the products passes to the customer at the moment of delivery to the carrier or upon collection by the customer.
\n4.3. Climate King BV is entitled to deliver orders in parts.
\n4.4. If delivery proves impossible after reasonable delivery attempts by the carrier or Climate King BV, all additional costs incurred to realize delivery, including re-offering, storage or additional transport costs, shall be borne entirely by the customer.<\/p>\n

5. Payment<\/strong><\/h3>\n

5.1. For initial orders, payment must be made in full in advance.
\n5.2. For subsequent orders, payment by invoice is permitted provided that no previous invoices remain outstanding for more than 14 days. If this is the case, prepayment shall again be required until no invoices remain outstanding for more than 14 days.
\n5.3. Invoices exceeding \u20ac10,000 must always be paid in full in advance, unless otherwise agreed in writing.
\n5.4. Payment must be made within 14 days of the invoice date, unless otherwise agreed in writing.
\n5.5. The customer is not entitled to suspend or set off payments against any claim against Climate King BV.
\n5.6. In the event of late payment, Climate King BV is entitled to charge statutory commercial interest. All judicial and extrajudicial collection costs shall be borne by the customer.<\/p>\n

6. Cancellation<\/strong><\/h3>\n

6.1. Cancellation of an order is only possible insofar as the order has not yet been shipped by Climate King BV.
\n6.2. Cancellation after shipment is excluded.<\/p>\n

7. Force majeure<\/strong><\/h3>\n

7.1. Climate King BV shall not be obliged to fulfill any obligation if prevented from doing so by circumstances beyond its control.
\n7.2. Force majeure includes all external causes, foreseen or unforeseen, over which Climate King BV has no control and which prevent fulfillment of obligations.
\n7.3. During force majeure, Climate King BV\u2019s obligations shall be suspended. If force majeure lasts longer than ninety (90) days, both parties are entitled to dissolve the agreement without liability for damages.
\n7.4. If Climate King BV has already partially fulfilled its obligations, it is entitled to invoice that part separately.<\/p>\n

8. Complaints and returns<\/strong><\/h3>\n

8.1. The customer must inspect delivered products immediately upon receipt.
\n8.2. Other complaints must be reported in writing within three working days after discovery.
\n8.3. Returns of correctly delivered products are only possible after written consent of Climate King BV.
\n8.4. Return rights for business customers are legally excluded.<\/p>\n

9. Warranty and liability<\/strong><\/h3>\n

9.1. Climate King BV is not liable for consequential or indirect damage.
\n9.2. Climate King BV is not liable for damage resulting from the use of the products.
\n9.3. Technical advice is provided without obligation and at the customer\u2019s own risk.
\n9.4. Climate King BV is not liable for external software or applications.<\/p>\n

10. Retention of title<\/strong><\/h3>\n

10.1. Ownership of all delivered products remains with Climate King BV until full payment has been received.
\n10.2. Products may not be disposed of before ownership has transferred.
\n10.3. In case of default, Climate King BV is entitled to reclaim the products.<\/p>\n

11. Intellectual property<\/strong><\/h3>\n

11.1. All documentation, images and drawings remain the property of Climate King BV.
\n11.2. These may not be shared without prior written consent.<\/p>\n

12. Use and application of components and termination of customer relationship<\/strong><\/h3>\n

12.1. Components, installation materials and specially developed parts supplied by Climate King BV are exclusively intended for use in combination with air conditioning systems supplied by Climate King BV, unless otherwise agreed in writing in advance.
\n12.2. The customer is not permitted to directly or indirectly use, integrate, have integrated or make these components available for use in third-party systems or air conditioning systems of other brands.
\n12.3. Use of components in violation of this article constitutes a culpable breach of contract.
\n12.4. In the event of a violation, Climate King BV is entitled, without prior notice of default and without any obligation to compensate damages, to:<\/p>\n

    \n
  • cancel current and future orders in whole or in part<\/li>\n
  • refuse further deliveries with immediate effect<\/li>\n
  • terminate warranty, support and liability<\/li>\n
  • dissolve agreements with immediate effect<\/li>\n
  • terminate the customer relationship and remove the customer as a buyer<\/li>\n<\/ul>\n

    12.5. Climate King BV reserves the right to recover all damages resulting from such violation from the customer.
    \n12.6. The customer is not permitted to sell, resell, rent, transfer or otherwise make available the supplied components to third parties, except within the scope of the agreement with Climate King BV. Violation constitutes a serious breach and entitles Climate King BV to all measures described in article 12.4, including damage recovery.
    \n12.7. In case of reasonable suspicion of violation, Climate King BV is entitled to verify compliance by requesting relevant information, insofar as proportionate and necessary.
    \n12.8. This article is included to protect the technical integrity, safety, liability position, commercial interests and reputation of Climate King BV.<\/p>\n

    13. Confidentiality<\/strong><\/h3>\n

    13.1. Both parties shall maintain confidentiality of all confidential information obtained in the context of the agreement.
    \n13.2. Confidential information includes technical, commercial and organizational information, product data, prices, drawings, designs, documentation and know-how.
    \n13.3. The confidentiality obligation applies during and after termination of the agreement.
    \n13.4. Disclosure to third parties is only permitted if necessary for the execution of the agreement.<\/p>\n

    14. Transfer of rights and obligations<\/strong><\/h3>\n

    14.1. The customer may not transfer rights or obligations without prior written consent of Climate King BV.
    \n14.2. Climate King BV may transfer agreements to affiliated entities.<\/p>\n

    15. Export and sanctions legislation<\/strong><\/h3>\n

    15.1. The customer shall comply with all applicable national and international export and sanctions regulations.
    \n15.2. Products may not be supplied to sanctioned countries, persons or entities.
    \n15.3. Climate King BV is not liable for damage resulting from compliance with such legislation.<\/p>\n

    16. Communications<\/strong><\/h3>\n

    16.1. All communications must be made in writing, including by email.
    \n16.2. Electronic communication constitutes legally valid evidence.<\/p>\n

    17. Right of recovery of goods<\/strong><\/h3>\n

    17.1. The statutory right of recovery of goods is excluded insofar as legally permitted.
    \n17.2. Where exclusion is not legally valid, it shall be limited to the statutory minimum.<\/p>\n

    18. Partial invalidity<\/strong><\/h3>\n

    18.1. If any provision is invalid or void, the remaining provisions remain in force.
    \n18.2. Parties shall replace invalid provisions with provisions that most closely reflect the original intent.<\/p>\n

    19. Applicable law and competent court<\/strong><\/h3>\n

    19.1. All agreements are governed exclusively by Dutch law.
